Terms of Service

The short version: LocalPour connects you with independent Denver coffee shops. You pay the shop directly — LocalPour never charges you a fee. Be respectful, place real orders, and don't abuse the platform.

1. Agreement

By using the LocalPour mobile app or website ("Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms form a binding agreement between you and LocalPour LLC, a Colorado limited liability company ("LocalPour," "we," "us").

2. What LocalPour does

LocalPour is a mobile ordering platform that lets customers place ahead-of-time orders at participating independent coffee shops. LocalPour is a technology intermediary — we facilitate the transaction but we are not a party to the sale of food or beverages. Each participating shop is an independent business responsible for the preparation and fulfillment of your order.

3. Payments

All payments are processed by Square on behalf of the shop you are ordering from. Your card is charged by the shop's Square account — not by LocalPour. LocalPour does not handle, store, or have access to your payment card information. LocalPour does not charge customers any service fee, convenience fee, or markup on orders.

Refunds and disputes for individual orders are handled by the shop directly. Contact the shop first for any order issues. If you are unable to resolve a dispute with the shop, contact us at hello@localpour.app and we will assist.

7. Intellectual property

The LocalPour name, logo, app design, and original content are the property of LocalPour LLC and are protected by copyright and trademark law. Shop names, logos, and menu content belong to the respective shops. You may not use LocalPour's intellectual property without our written permission.

8. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy of menu information, prices, or availability displayed in the app — these are provided by the shops.

9. Limitation of liability

To the maximum extent permitted by applicable law, LocalPour LLC and its members, managers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid for the specific order giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless LocalPour LLC from any claim, loss, or expense (including legal fees) arising from your violation of these Terms or your misuse of the Service.

11. Governing law

These Terms are governed by the laws of the State of Colorado without regard to conflict of law principles. Any disputes shall be resolved in the courts of Denver County, Colorado. You consent to personal jurisdiction in Colorado.

12. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your account if you violate these Terms, with or without notice. Sections 7, 8, 9, 10, and 11 survive termination.

Shop Partner Terms

Sections 15–20 apply to coffee shop owners and businesses ("Shop Partners") who use LocalPour to accept mobile orders. These terms are accepted at the time of setup fee payment and are binding on the shop's owner and authorized representatives.

15. Platform subscription

Shop Partners pay a recurring monthly platform fee for access to LocalPour's ordering technology. Pricing is:

The total is calculated at the end of each 30-day billing cycle and charged to the card on file. The first billing cycle begins on the date your setup fee is paid. Founding member pricing (if applicable) applies only to the one-time setup fee and does not affect monthly rates.

Example: A shop with 150 app orders in a month is billed: $9.99 + (150 × $0.15) = $9.99 + $22.50 = $32.49.

16. Card on file and automatic billing

By completing setup fee payment, you authorize LocalPour to save your payment card via Square and charge it automatically at the end of each 30-day billing cycle. You may update your card on file by contacting emily@localpour.app. Card data is stored and processed by Square — LocalPour does not store raw card numbers.

If a monthly charge fails (declined card, expired card, insufficient funds), the following process applies:

18. Suspension and reactivation

If online ordering is paused due to non-payment, your shop listing remains visible but customers cannot place orders. To reactivate, pay the outstanding balance via the payment link emailed to you or by contacting LocalPour. Reactivation occurs automatically within minutes of successful payment. LocalPour is not liable for any revenue loss during a suspension period resulting from non-payment.

19. Setup fee

The one-time setup fee covers initial account provisioning, Square integration, menu setup, and onboarding support. The setup fee is non-refundable once payment is processed and onboarding has begun. Founding member pricing (50% discount on the setup fee) is available to the first cohort of shops at LocalPour's discretion.

20. Termination of shop partnership

Either party may end the shop partnership with 30 days' written notice to emily@localpour.app. Upon termination, your shop will be removed from the platform, any outstanding balance for the current billing cycle becomes due immediately, and customer-facing ordering will be disabled. LocalPour may terminate a shop's access immediately for violation of these terms, misuse of the platform, or fraudulent activity.
